Terms of Use

Introduction

These Terms and Conditions (“Terms”) govern every visit to and use of the RiseMentor.com website, its companion mobile or desktop applications, and any associated application-programming interfaces (collectively, the “Services”). RiseMentor Inc., a corporation incorporated under the federal laws of Canada (“RiseMentor,” “we,” “our,” or “us”), offers a subscription platform that pairs emerging leaders with experienced mentors, delivers leadership-development content, and tracks progress toward professional goals. By accessing or using any part of the Services, you (“Subscriber,” “you,” or “your”) acknowledge that you have read, understood, and agree to be legally bound by these Terms.

Agreement to Terms

You accept these Terms when you (a) create an account, (b) click “I Agree,” “Accept,” or a similar button, (c) execute an order form or engagement letter that references these Terms, or (d) otherwise use the Services. If you register on behalf of a corporation, partnership, or other entity, you represent that you have authority to bind that entity; in such case, all references to “you” include the entity. If you do not agree to every provision herein, you must not access the Services.

Description of Services

Depending on your subscription tier, the Services may provide:

Mentor Matching – algorithmic pairing with vetted mentors based on industry, experience, and leadership focus.

Session Portal – scheduling, video conferencing, and secure messaging for one-to-one or group mentorship sessions.

Learning Library – curated articles, case studies, and micro-courses on leadership, communication, and strategic thinking.

Progress Dashboard – goal-setting tools, milestone tracking, and feedback loops that visualise growth over time.

Event Access – invitations to virtual round-tables, panel discussions, and peer-network meet-ups.

The Services provide educational guidance and professional support; they do not constitute therapy, legal advice, financial planning, or any other regulated professional service, and no fiduciary duty is created.

Subscriber Responsibilities

You agree to:

provide accurate, current registration and billing information and update it promptly;

safeguard usernames, passwords, and multi-factor credentials, restricting access to authorised individuals only;

engage with mentors respectfully and comply with all community conduct guidelines published on the platform;

ensure that any content you upload (assignments, questions, files) is lawful, non-infringing, and free of malicious code;

seek independent professional advice before acting on recommendations that could materially affect your business, finances, or mental well-being; and

notify us without undue delay of any suspected unauthorised use of, or security incident involving, your account.

Limitation of Liability

To the fullest extent permitted by law, RiseMentor and its affiliates will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, nor for any loss of profits, revenue, data, or goodwill arising out of or related to the Services, even if advised of the possibility. Our aggregate liability for all claims under these Terms will not exceed the subscription fees you paid during the twelve (12) months immediately preceding the event giving rise to liability. Nothing in this section limits liability that cannot legally be limited, including liability for fraud or wilful misconduct.

Intellectual Property

All software, course materials, mentor profiles, trademarks, logos, and documentation incorporated in or generated by the Services are and will remain the exclusive property of RiseMentor or its licensors, protected by Canadian and international intellectual-property laws. Subject to continuous compliance with these Terms, you receive a non-exclusive, non-transferable, revocable licence to use the Services solely for your personal professional development. Except as permitted by mandatory law, you may not copy, modify, reverse-engineer, decompile, distribute, or create derivative works from any portion of the Services.

Governing Law and Jurisdiction

These Terms are governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Toronto, Ontario, and each party irrevocably submits to that jurisdiction.

Termination of Access

We may suspend or terminate your access to the Services: (a) on thirty (30) days’ written notice if you materially breach these Terms and fail to cure within that period; (b) immediately if required by law, regulatory order, or court judgment; or (c) if you become insolvent or cease business. Upon termination, your right to use the Services ends, but Sections 5–7 and 9–11 survive. Provided all outstanding fees are paid, you will have thirty (30) days from the effective termination date to export your progress data via our standard tools.

Refund Policy

Subscription fees are billed in advance. You may cancel at any time; cancellation becomes effective at the end of the current billing cycle. If you cancel within fourteen (14) days of your initial purchase and have not completed more than one (1) mentorship session, you may request a full refund. After that threshold—or after the fourteen-day period—fees are non-refundable except where consumer-protection legislation requires otherwise.

Changes to Terms

We may revise these Terms to reflect changes in law, industry standards, or product functionality. Updated Terms will be posted on our website with a revised “Effective Date.” Material changes take effect thirty (30) days after posting; we will also notify active Subscribers by email or in-app notice. Your continued use of the Services after the effective date constitutes acceptance of the amended Terms.

Effective Date

These Terms and Conditions are effective as of 18 June 2025 and apply to all access to or use of the Services on or after that date.
